Gerald Heller
PRESIDENT

Gerald Heller has remained an active member of the investment community in South Florida and HAI has assisted numerous companies in the areas of corporate finance, strategic planning and marketing. HAI specializes in business and personal financing for small and mid market companies. Mr. Heller has series 7, 63, 65, and a Health, Life, and Annuity License, and Mortgage broker License. In addition he is also a member of the M & A Counsel For New Bridge Securities, as well as VP and Director of Gold Coast Venture Capital.

Gerald Heller has held management positions in a number of companies both private and public. His areas of expertise include Technology, Consumer Products, Finance, and Marketing Services. Mr. Heller co-founded and served as President of ILC/DDC, a successful public company manufacturing electronic computing devices. Following a successful sale of DDC, Mitsubishi retained Heller to turn- around Optel, a public Liquid Crystal Display and Watch Company. As Chairman and President he restructured the Company and with the help of G.E.Capital, Optel emerged as a highly profitable public Company.

Mr. Heller formed HAI Electronics to take advantage of the need for professional technical sales and marketing representation in Florida and Puerto Rico. HAI became the largest electronic manufacturers sales company in that market. Heller sold HAI Electronics to successfully restructured worldwide sales for Datel a computer peripheral manufacturer and client of HAI. Heller doubled sales while halving sales costs at Datel.

Heller then acquired the distribution rights for Snapple beverages in South Florida. Within three years Snapple was distributed in 100% of the South Florida market and represented 60% of the southeast market. Snapple acquired the rights to Snapple of South Florida when the company went public.

Mr. Heller resides in Coral Springs, Florida and is well known in the business community in Florida, Boston, California and New York. Mr. Heller is President of the Florida Chapter of ICIIT, a professional engineering organization. He is also a senior member of the Institute of Electrical Engineers. He is a voting member of the 802.11-working group that develops standards for the wireless communications industry. Mr. Heller is a member of the planning committee of the Internet Coast Investor Group. Mr. Heller has been active in two start-up companies in the WI-FI wireless and the electronic publishing industry.

Mr. Heller is an Electronic Engineer and received his Bachelors of Science degree in Engineering with a Computer Specialty from C.W. Post College. His graduate work was in Applied Science at Adelphi University.



Michael Heller, J.D., C.P.A., L.L.M.

Mr. Heller heads our Private Equity Financing Division. He has held numerous roles in private equity. He has worked as a business advisor, an investment banker and an attorney. His last role was with Deloitte as the Southeast Director of Venture Capital Relations. He has extensive experience working with venture funds, hedge funds, private equity groups, buyout firms, angel investors and venture-backed companies.

Mr. Heller has over 7 years of legal experience having worked as a tax attorney with Holland & Knight and then as a corporate attorney for Edwards & Angell, a New England- based law firm specializing in venture capital financing and Mergers & Acquisitions. He has extensive business development experience having been an owner of two businesses. He was an equity owner of Snapple of South Florida, which owned the exclusive distribution rights to Snapple as well as other new age drinks, which had a successful exit prior to Snapple's IPO. Additionally, Michael founded and served as President of Heller & Marsh Capital, a venture capital consulting firm. Most recently, Mr. Heller was the Executive Director of Business Development for one of the JM Family Enterprise subsidiaries, the 17th largest private company in the United States, with over $11.2 Billion in annual revenues. In April 2007, Mr. Heller was responsible for securing for one of his clients a private equity investment of $20 million and a warehouse line of $175 million from a leading investment banker and private equity fund.

After graduating from Tulane University with a degree in business, Mr. Heller worked in public accounting, first as an auditor in the New York office of PriceWaterhouse and then as an auditor in the financial service office of Touche Ross. Michael then attended the Washington College of Law where he received his law degree and then attended NYU where he earned an LLM in taxation.

Mr. Heller has served on numerous boards over the last 5 years: Grace Venture Partners (An Orlando-based Venture Fund), AEA (Florida, Georgia), First Tuesday (Atlanta), Governor Bush's Research Consortium Board, the University of Florida Foundation/Private Equity Committee, the Florida Venture Forum (Treasurer), the University of Central Florida Incubator (Board Member and Instructor of Incubator Program), Technion, The Gold Coast Venture Capital Club, Internet Coast/Capital Committee, and The America-Israel Chamber of Commerce (Forida, Georgia). He is also a member of the Florida CPA, the Florida Bar Association and the American Bar Association.


Mark Heller
VICE PRESIDENT OF SALES

Mark Heller has a distinguished business career, participating in many aspects of business within South Florida. Mark Heller has held management, administrative, accounting and sales positions throughout South Florida.

Mark Heller was Vice President of Operations of Snapple of South Florida. During that time he was instrumental in helping the corporation grow and prosper. The corporation had over 3500 clients.

Mr. Heller is currently a broker associate with century 21 Tenace Realty specializing in all aspects of Real Estate and Business sales.

Mark Heller is Vice President of Sales for Heller Capital and is responsible for the sales growth in business opportunities and commercial real estate. Florida is a dynamic market for small business sales based on the transition of generational owners to new buyers. The upward mobility of the Latin and Afro-American population is adding to the demand for existing businesses.

Mark Heller always believes that hard work and diligence is the key element of a successful organization. Mark Heller guarantees that someone in our organization will be there to assist our clients until they are completely satisfied.

Mark Heller currently resides in Tamarac, Florida area with his two children ages 10 and 13. Mark Heller has a bachelor's degree from Nova South Eastern University with a major in Business. Mr. Heller is also a broker associate with Century 21 Tenace Realty and has had his real estate license since 1987.


Lazarus Rothstein, Esq.

Mr. Rothstein has held senior legal positions in a number of public companies in addition to his experience in the private practice of law. At Elizabeth Arden, Inc. – a global prestige fragrance and beauty products company with operations in over 17 countries, Mr. Rothstein supported major business units in negotiating customer and product supply agreements, license, distribution, marketing, logistics and information technology agreements. Mr. Rothstein successfully completed several mergers and acquisitions and was responsible for SEC compliance and reporting and public debt and equity offerings.

Previously, Mr. Rothstein worked in the legal department at the Sports Authority - the nation's largest full line sporting goods retailer operating over 385 stores throughout the United States. Mr. Rothstein was involved in the negotiation of vendor supply agreements, marketing and sponsorship agreements and providing strategic legal advice and support on a wide range of other contracts, SEC matters, litigation and the successful $1 billion merger with Denver, Colorado based Gart Sports.

Mr. Rothstein was the general counsel at Daleen Technologies - a billing and customer care software provider where he supported an international sales team in the negotiation of software license and service agreements. In addition, Mr. Rothstein was responsible for general corporate matters that included drafting employment and non-compete agreements, human resources compliance, patent and trademark management, SEC compliance and litigation matters.

Mr. Rothstein was also the general counsel at Let's Talk Cellular & Wireless - a specialty retailer of wireless communication products and services that operated over 270 stores in the United States. Mr. Rothstein negotiated commercial leases, joint venture agreements, sales agency agreements, intellectual property, technology license and operating agreements, numerous acquisitions of retail store chains and oversaw the real estate, legal and construction departments during a period of rapid growth.

While in the private practice of law, Mr. Rothstein has represented corporations, partnerships and entrepreneurs in general business transactions, raising capital, real estate sales and leasing, mergers and acquisitions, commercial litigation and represented high net worth individuals in estate planning. Prior to entering private law practice, Mr. Rothstein was a law clerk with the U.S. Securities and Exchange Commission.

Education
Mr. Rothstein received his Bachelors of Science degree in Accounting from Florida State University and his Juris Doctor Degree from Nova Southeastern University Law School.

Associations
Mr. Rothstein is a member of the Florida Bar and is a past president, treasurer, secretary and board member of the Association of Corporate Counsel's South Florida Chapter, a corporate bar organization with over 350 members in Miami-Dade, Broward and Palm Beach Counties in the State of Florida. Mr. Rothstein is also a member of the Gold Coast Venture Capital Association, a not-for-profit corporation that assists entrepreneurs and the business community of South Florida and has received an AV rating from Martindale-Hubble, the highest level of professional excellence.


Laurence N. Garter

Laurence N. Garter, is President and founder of PROFIT STRATEGIES. He has thirty-five years of senior executive, consultant, and crisis manager.. He is on the Advisory Board of the Lifelong Learning Society of Florida Atlantic University; and a former accredited associate of the Institute for Independent Business and a director of its Florida Region.

He has provided both direct management and consulting assistance in strategic planning, profit maximization, operations improvement, financial management, business valuation, mergers and acquisitions, corporate funding, corporate re-engineering, turnarounds and crisis management.

For eight years, he was a Management Consulting partner in the largest office of Touche Ross & Co, with client and practice management responsibilities. As a National Director, he was the firm’s spokesperson in the areas of Operations Improvement and the Retail Industry, and started that firm’s Litigation Consulting group. In 1982, Mr. Garter left Touche Ross to become co-founder and President of Profit Strategies, Inc., specializing in serving private and small – medium public companies.

Mr. Garter has served as acting CEO and crisis manager of a $25 million ad specialty products company; and as COO, EVP and crisis manager for a number of companies with revenues from $15 to $100 million in distribution, manufacturing and information technology. He has been successful in sourcing, negotiating, and integrating acquisitions and has arranged corporate funding and negotiated both in and out-of-court reorganizations.

Industries include distribution, industrial electronics, general manufacturing, retail, financial institutions, food products, consumer goods, ad specialties, IT and other service industries.

Mr. Garter has published numerous business articles and has been quoted in The Encyclopedia of Management, Barron’s, Crain’s New York, Entrepreneur, Independent Business Today and other business and trade publications.
